Foreign investors and enterprises can register their BPO company through a recognized legal entity in the Philippines. The most common legal entities for Philippine BPO companies are as follows:

  • Domestic Corporation
  • Representative Office

  • Employer of Record

Domestic Corporation

As the most common type of legal entity in the Philippines, a Domestic Corporation is the local equivalent of a Private Limited Company (PLC) or a Limited Liability Company (LLC). To register a BPO company as a Domestic Corporation, it must declare itself as an export entity where at least 70% of its income is generated abroad. 

Setup Requirements for a Domestic Corporation in the Philippines

  • 2-15 directors (can be 100% foreign nationals/entities)
  • Treasurer-in-Trust (must be a Philippine resident; can be a foreign national residing in the Philippines)
  • Corporate Secretary (must be both a citizen and resident of the Philippines)
  • Paid-up capital (minimum of US$100)  

Representative Office

Another common option for setting up a BPO company is through a Philippine Representative Office. A Representative Office is a non-income generating entity that acts as a liaison office, back office/contact center, research and development facility, or sales and marketing center for its foreign parent company. 

To qualify for registering a Representative Office, the foreign parent company must prove it is actively doing business for at least 2 years abroad with a strong financial standing. 

Setup Requirements for a Representative Office in the Philippines

  • Registration documents of foreign parent company 
  • Board Resolution from parent company authorizing the establishment of the Representative Office
  • Appointment of a Resident Agent (can be an individual residing in the Philippines or a domestic corporation with active operations)
  • Paid-up capital (US$30,000; the same amount should be remitted annually to cover operating expenses)

Shelf Company

Those seeking to immediately start operating a BPO company in the Philippines can purchase a Shelf Company, a registered legal entity with no assets, liabilities, products/services, profits, or manpower. As its name implies, it has “left on the shelf” to age. It is ideal for investors who want to establish a presence in the Philippines without undergoing the tedious registration process. 

Requirements for Purchasing a Shelf Company in the Philippines 

  • Registration documents of foreign parent company 
  • Appointment of a Resident Agent (can be an individual residing in the Philippines or a domestic corporation with active operations)
  • Professional fees for purchase of Shelf Company

Employer of Record

For those who do not want to set up a physical office in the Philippines and only want to hire a service provider to manage their back-office team in the country, they can avail of Employer of Record (EoR) services. EoRs hire and manage employees who work for other companies, mostly foreign companies.
