SEC Extends the Deadline on Submission of 2020 Annual Reports, Audited Financial Statements, and Quarterly Reports in the Philippines

SEC Annual Report

The Securities and Exchange Commission (SEC), under the SEC Memorandum Circular (MC) No. 17 Series of 2020, has extended the deadline on submission of Annual Reports, Audited Financial Statements (AFS) and applicable Quarterly Reports. SEC, in line with the declaration of state of public health emergency (Proclamation No. 922) and the Republic Act No.11469 Section 4(z), grants the extension to ease the burden of business sectors in complying with the completion and preparation of financial statements and statutory audits, due to the delays in business processes caused by the implemented responses to the COVID-19 pandemic.

EXTENDED DATES OF SUBMISSION

Companies with Fiscal Years (FYs) ending within January 31 to March 31, 2020:

  • Extended period of sixty (60) calendar days from the regular filing due dates

Companies with FY ending on April 30, 2020:

  • Extended period of forty five (45) calendar days from the regular filing due dates

REPORTS COVERED BY THE EXTENSION

SEC has granted extended deadline of submission for the following reports:

i. Annual Reports (SEC Form 17-A) and AFS of publicly-listed companies (PLCs)

ii. Annual Reports and AFS of issuers of registered securities (aside from PLCs)

iii. AFS of all other companies other than items (i) and (ii) above.

EXTENDED SUBMISSION FOR QUARTERLY REPORTS

Companies covered under this memorandum shall likewise be given an extended period of forty five (45) days from the regular filing deadlines to comply with the submission of the following:

  • Quarterly Reports (SEC 17-Q) for the first quarter of the said companies

Extension requests are no longer requisite. Granted extensions shall automatically apply to all covered companies.

Concerned companies, belonging to PLCs and issuers of registered securities falling under the supervision of the Market and Securities Regulation Department (MSRD), shall file the special disclosure form (SEC Form 17-LC) not later than five (5) calendar days prior to the regular filing deadline to avail the extended filing period for SEC Form 17-A and SEC Form 17-Q Reports. 

Covered companies are advised to comply with the filing and submission of reports prior to the given extended deadline under the memo.
