SEC Clarifies Procedures on AFS and GIS Filing via Mail and Courier Submission in the Philippines
The Securities and Exchange Commission (SEC), under the SEC Memorandum Circular (MC) No. 18 Series of 2020, has clarified the procedures to follow on the submission of Annual Financial Statements (AFS) and General Information Sheet (GIS) via mail or courier.
SUBMISSION OPTIONS
Filers may avail any of the following options upon submission of the AFS and GIS notwithstanding the quantity of reports required to be filed to SEC:
SEC Express Nationwide Submission (SENS):
- Download the SENS Checklist and SENS Undertaking Form (SENS Form)
- Fulfill and sign the SENS Form
- Attach checklist with a signed undertaking per report
- Secure documents and fulfilled checklist with undertaking in an envelope
- Pay the service and courier fee to the nearest courier area for the off-site submission
- Accept the receiving copy from the courier within the acknowledged period of time
Any Courier/Regular Mail:
- Download the SENS Checklist and SENS Undertaking Form (SENS Form)
- Fulfill and sign the SENS Form
- Attach checklist with a signed undertaking per report
- Secure documents and fulfilled checklist with undertaking in an envelope
- Head to the chosen courier or post office
BASIS OF DATE OF SUBMISSION
SUBMISSION THROUGH COURIER
The considered date of submission for the AFS and GIS shall be based on the mailing date of the reports indicated on the registry receipt of the courier.
SUBMISSION THROUGH REGISTERED MAIL
The date of receipt for filed reports via registered mail shall be based on the receipt date of the Philippine Postal Corporation (PhilPost).
FILING THROUGH EMAIL
The reckoning date of receipt for reports filed via email during the Community Quarantine (CQ) shall be based on the date indicated in the Acknowledgment Confirmation (AC) affirmed in the email and attached to the submitted hard copies of the reports.
