SEC Releases New Deadline on Submission of Annual Reports in the Philippines
The Securities and Exchange Commission (SEC), in a notice dated July 12, 2020, has issued adjusted deadlines and submission processes of Annual Reports, Annual Financial Statements (AFS), and General Information Sheet (GIS) due to the closure of SEC’s Main Office.
FILING OF ANNUAL FINANCIAL STATEMENTS
Corporations shall comply with the following dates in filing their AFS relative to their SEC registration or license numbers:
FILING OF GENERAL INFORMATION SHEET
Submission deadline of the GIS, for corporations who conducted their annual stockholders’ meetings while under the Enhanced Community Quarantine (ECQ) and Modified Enhanced community Quarantine (MECQ), shall be until August 31, 2020.
MODES OF ANNUAL REPORT FILING
Via courier
Submissions shall be made via courier only through the SEC Express Nationwide Submission (SENS) facility.
Copies of AFS, GIS, and other documents, plain or authenticated, may be requested via the SEC Express System (SES) after two (2) months from the date of receipt.
Via Email Submissions
Corporations are still allowed to submit the scanned copies of their reports (they must be duly-signed and if applicable, notarized) to the following email addresses:
The date indicated under the Acknowledgment Receipt (AC) that the SEC will send via email shall be considered as the date of receipt of the documents.
Printed copies shall be submitted through either of the following:
- Courier
- Philippine Postal Corporation (PHLPost)
The AC shall likewise be the basis of the reckoning date of receipt.
Via SEC Extension Offices
Filing of the reports for corporations headquartered outside the National Capital Region (NCR) may still be made with SEC’s extension offices.
PROCESS FOR SEC DOCUMENTS REQUESTS
Via Online Application Only
Requests for copies of annual reports, plain or authenticated, shall be accepted by the SEC provided that corporations submit the request through the SES facility.
Processing of requests will start upon the continuation of operations in SEC’s Main Office. The requests shall be released within a period of five (5) to seven (7) days from July 27, 2020.
No Self-Service Processing
There shall be no self-service processing due to the suspended appointment system in SEC’s Main Office.
